NORTON, WIKE AND ASSOCIATES ASSOCIATION WEB SITE SOFTWARE

The following are the terms and conditions for use of the Norton Wike, LLC ("NWA") hosting and web site software for Associations utilizing the services contained within WOMENSGOLF.ORG ("Association Software"). Please read them carefully.

The use of Association Software and services incidental thereto are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein.

1. MEMBER PARTICIPATION AND SECURITY
To use the Association Software, you must complete the registration process by providing us with current, complete and accurate information about your association. You are entirely responsible for maintaining the confidentiality of content on your web site. Furthermore, you are entirely responsible for any and all activities that occur under your account. NWA cannot guarantee the security or confidentiality of information contained on your web site. However, NWA will make reasonable attempts to maintain the confidentiality of association member rosters to limit their access only to association members. Please refer to the Release of Liability Section below for further information.

2. MEMBER CONDUCT AND SITE CONTENT
As a condition of your use of the Association Software, you warrant to NWA that you will not use the Association Software for any purpose that is unlawful or prohibited by these terms, conditions, and notices.

You agree to abide by all applicable local, state, national and international laws and regulations and are solely responsible for all acts or omissions that occur in the operation of your web site, including the content of your transmissions through the Association Software.

You further agree not to transmit, upload or display on your web site any obscene, offensive, profane, inappropriate or unlawful material ("inappropriate content"). NWA and the Women's Southern California Golf Association reserve the right to monitor the web site content of Member Associations and to terminate access to any Member Association who continues to display "inappropriate content" on its site.

Each member association will be allocated a sufficient amount of disk storage space and data transfer for the effective operation of their association web site, not to exceed 20 megabytes of disk storage or 750 megabytes, per month, of data transfer.

3. INTELLECTUAL PROPERTY RIGHTS
The Association Software, and the web pages designed with the use of the Association Software, is the exclusive intellectual property of NWA and shall not be copied, used or appropriated without the express written consent of NWA. Neither you nor a member association may modify, copy, reproduce, republish, upload, post, transmit or distribute the content of the Association Software, or pages designed with the use of the Association Software, without NWA's prior authorization.

4. LINKS TO THIRD PARTY SITES
THE LINKS INCLUDED WITHIN THE ASSOCIATION SOFTWARE MAY LET YOU LEAVE THE ASSOCIATION SOFTWARE WEB SITES ("LINKED SITES"). THE LINKED SITES MAY NOT BE UNDER THE CONTROL OF NWA AND NWA IS NOT RESPONSIBLE FOR THE CONTENTS OF ANY LINKED SITE OR ANY LINK CONTAINED IN A LINKED SITE, OR ANY CHANGES OR UPDATES TO SUCH SITES. NWA IS NOT RESPONSIBLE FOR WEBCASTING OR ANY OTHER FORM OF TRANSMISSION RECEIVED FROM ANY LINKED SITE. NWA IS PROVIDING THESE LINKS TO YOU ONLY AS A CONVENIENCE, AND THE INCLUSION OF ANY LINK DOES NOT IMPLY ENDORSEMENT BY NWA OF THE SITE OR ANY ASSOCIATION WITH THEIR OPERATORS.

5. DISCLAIMERS/LIMITATION OF LIABILITY
The information and services included in or available through the Association Software may include inaccuracies or typographical errors. Changes are periodically added to the information herein. NWA and/or its respective suppliers may make improvements and/or changes in the Association Software at any time.

NWA does not represent or warrant that the Association Software will be uninterrupted or error-free, that defects will be corrected, or that the Association Software or the server that makes it available, are free of viruses or other harmful components.

Although NWA will undertake all reasonable efforts to provide accurate content, and availability to Association Software and its related web sites, NWA does not warrant or represent that the use or the results of the use of the Association Software or the materials made available as part of the Association Software will be correct, accurate, timely, or otherwise reliable at all times.

NWA shall not be responsible or liable for any threatening, defamatory, illegal, or confidential content that you or any member associations may include in their web sites. You hereby agree to indemnify and hold NWA harmless from any claim or liability that may arise from the text, material, photographs or other content contained in a member association's web site. Additionally, a member association's site may include web links to other web sites. NWA shall not be liable for the content of any such web sites, and NWA shall be indemnified and held harmless by you and member associations for any liability arising from the content of web links contained in member association's web sites.

IN NO EVENT SHALL NWA AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE ASSOCIATION SOFTWARE OR RELATED WEB SITES, WITH THE DELAY OR INABILITY TO USE THE ASSOCIATION SOFTWARE OR RELATED WEB SITES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE ASSOCIATION SOFTWARE, OR OTHERWISE ARISING OUT OF THE USE OF THE ASSOCIATION SOFTWARE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF NWA OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE ASSOCIATION SOFTWARE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE ASSOCIATION SOFTWARE AND ITS RELATED WEB SITES.

6. INDEMNIFICATION
You agree to indemnify and hold NWA, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct on the Association Software.

7. TERMINATION
If you breach any of the conditions set forth herein, NWA may terminate your access to any part or all of the Association Software and any related service(s) at any time, with or without cause, with or without notice, effective immediately. Upon termination of the Association Software, your right to use the Association Software immediately ceases.

If you wish to terminate your account, your only recourse is to discontinue the use of the Association Software.

8. GENERAL
This agreement is governed by the laws of the State of California, and the United States of America. Use of the Association Software is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and NWA as a result of this agreement or use of the Association Software. NWA's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of NWA's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Association Software or information provided to or gathered by NWA with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and NWA with respect to the Association Software (excluding the use of any software which may be subject to an end-user license agreement) and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and NWA with respect to the Association Software. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You and NWA agree that any cause of action arising out of or related to this Service must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred. The section titles in the TOS are solely used for the convenience of the parties and have no legal or contractual significance.

9. RIGHTS RESERVED
Any rights not expressly granted herein are reserved.
